How a deal works with DuraServ
Acquisition deals are structured to help you elevate your success and grow exponentially. We understand that this is a big decision, so we treat every acquisition conversation with extreme confidentiality.
Introductions
We’ll schedule a brief call to learn about you, your business and goals, and to give you a better sense of who we are and how we work.
In-Person Meeting
We’ll connect in person to continue the conversation, answer your questions, and explore what working together could look like.
Letter of Intent
We will provide you with a letter of intent that outlines the following terms within 2 weeks of receiving 3 years of basic financial information.
- Structure:
- Typically, an asset purchase with certain assumed liabilities.
- Proposed Consideration:
- Typically, upfront cash payment, two-year seller’s note, rolled equity in DuraServ TopCo and amount of assumed liabilities.
- Working Capital:
- Set amount included in the acquisition—typically receivables, inventory, payables, and select balance sheet items.
Agreement of the Letter of Intent
If we come to agreement on the letter of intent, it kicks off the next steps:
- Due Diligence:
- We move quickly—we review key financials and meet in person to fully understand the business.
- Legal Documentation:
- We keep it simple—our legal documentation is not overly complex or onerous for the seller.
Within 2 Weeks
Closing
From signing to closing, we take 75-90 days. At closing, we hold an all-team meeting to answer questions and make introductions.
